Law & Business Program, University of Virginia School of Law

Michal Barzuza researches and teaches corporate law, corporate governance, corporate finance, regulatory competition, and law and economics at the University of Virginia School of Law. Her scholarship studies the optimal balance between regulation and laissez-faire in corporate law, focusing on issues such as the effects of interstate competition on the shape of corporate law, firm heterogeneity and the choice of corporate governance terms, cross-listing, boardroom dynamics, outside directors and the general counsel, and firms with controlling shareholders.


Kyle Lachmund,
Director, Richards, Layton & Finger, P.A.

Kyle Lachmund is a Director at Richards, Layton & Finger, P.A. He focuses his practice on complex corporate and commercial litigation in the Delaware Court of Chancery.  He has represented clients in Delaware and other jurisdictions in disputes involving breach of fiduciary duty, appraisal, corporate control, contested mergers and acquisitions, derivative lawsuits, and other commercial matters. Mr. Lachmund clerked for the Honorable Vice Chancellor J. Travis Laster in the Delaware Court of Chancery.

Ann Lipton is a Michael M. Fleishman Professor in Business Law and Entrepreneurship at Tulane University School of Law. She is an experienced securities and corporate litigator who has handled class actions involving some of the world’s largest companies. Professor Lipton’s scholarship explores corporate governance, the relationships between corporations and investors, and the role of corporations in society.


Sean MacDonald,
Associate, Hogan Lovells

Sean MacDonald is an Associate at Hogan Lovells. He leverages his corporate litigation experience to advise clients on how courts may view current deals in the future. He practiced corporate litigation at a prominent Delaware law firm before joining Hogan Lovells’ private equity practice. Mr. MacDonald also completed a judicial clerkship for the Honorable Chancellor Kathaleen St. J. McCormick of the Delaware Court of Chancery.

Paolo Saguato is a Professor of Law and Founder and Director of the Program on Financial Markets at George Mason University’s Scalia Law. He teaches financial regulation, business associations, and securities and derivatives regulation. In his research, Professor Saguato focuses on U.S., EU and international financial regulation and, more specifically, the regulation of financial market infrastructures, and securities and derivatives markets; financial innovation; and corporate law and theory.
